Commercial & Engineering Terms

Terms of Service

Clear agreements build reliable long-term partnerships. These terms outline the operational and commercial principles governing projects, procurement, and support delivered by Jedaverse Integrated Services.

Operational Draft Notice: This document serves as our operational commercial framework. Individual signed service contracts, statements of work, and formal procurement purchase orders supersede general website terms. Last revised: October 2026.

1. Acceptance and Scope of Services

These Terms of Service govern technology engagements provided by Jedaverse Integrated Services to corporate, institutional, and SME clients.

Our services encompass custom software engineering, ERP deployment, structured networking and Wi-Fi installation, CCTV security surveillance, enterprise computer hardware procurement, and ongoing managed support.

2. Quotations, Pricing, and Proposals

Written quotations provided by Jedaverse itemize equipment costs, software licensing, and engineering labor. Due to fluctuations in foreign exchange and international technology logistics, quotations remain valid for fourteen calendar days from issuance unless explicitly indicated otherwise in writing.

Formal engagement begins upon receipt of a signed scope of work, an approved purchase order, or agreed initial procurement disbursement.

3. Hardware Procurement and Warranty Logistics

All commercial laptops, desktop computers, network switches, IP cameras, and power equipment supplied by Jedaverse are sourced exclusively through authorized distributor channels to guarantee authenticity.

  • Hardware carries genuine manufacturer warranty protection, supported by our local technical logistics desk in Lagos and Benin City.
  • Physical equipment undergoes staging, inspection, and asset tagging prior to delivery.
  • Clients or their designated representatives sign an equipment handover note upon physical verification and testing at the delivery location.

4. Software Engineering and Delivery

Custom software systems and ERP implementations are delivered according to agreed milestones and user acceptance testing (UAT) criteria.

Intellectual property rights, source code licensing, and database ownership are defined in individual project agreements. Clients retain complete ownership of their proprietary business data and transactional records at all times.

5. Client Responsibilities

To ensure timely execution, clients agree to:

  • Provide safe physical site access for installation teams during agreed engineering windows.
  • Ensure required facility prerequisites (such as clean electrical power or trunking pathways) are available prior to equipment deployment.
  • Designate an authorized project lead empowered to review technical deliverables and grant approvals.

6. Limitation of Liability and Force Majeure

Jedaverse provides engineering services with professional care and industry standard methodology. We are not liable for indirect, incidental, or consequential disruptions arising from third-party utility failures, telecommunication upstream cuts, or force majeure events beyond reasonable commercial control.

7. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from or related to these terms shall first be addressed through good faith executive dialogue. If unresolved, disputes shall be submitted to mediation or the competent courts of Lagos State or Edo State, Nigeria.
